1. Introduction

These Terms and Conditions ("Terms") govern your use of OffMarket Pro, a platform operated by HomeHive Club Ltd ("we", "us", "our"). By accessing or using our platform, you agree to be bound by these Terms.

2. Founding Agent Programme

2.1 Programme Overview

The Founding Agent Programme is limited to the first 50 approved agents who join OffMarket Pro. Founding Agents receive tiered lifetime rates, exclusive benefits, and permanent founding member status.

2.2 Tiered Membership Structure

Founding members are assigned to one of three tiers based on their approval order:

  • Tier 1 (Founding Members 1-10): £1,950 per year
  • Tier 2 (Founding Members 11-25): £2,450 per year
  • Tier 3 (Founding Members 26-50): £2,950 per year

Tier assignment is automatic and based on the order in which applications are approved and paid. First-come, first-served applies.

2.3 Payment Terms

  • Annual membership fee is payable in advance
  • Payment must be received within 48 hours of approval to secure your founding member spot
  • Payment is non-refundable once your account has been activated
  • Accepted payment methods: Bank transfer, PayPal, or other methods as agreed
  • Failure to pay within 48 hours may result in your spot being offered to the next applicant

2.4 Membership Period

  • Membership is annual and renews on the anniversary of your account activation
  • Platform launches 17 February 2026 - your first full membership year begins from this date
  • You will be notified 30 days before your renewal date
  • Annual fees must be paid via the payment method on file
  • Failure to renew may result in account suspension or termination

2.5 Lifetime Rate Guarantee

  • Your founding member tier rate is locked for life and will never increase
  • This rate guarantee applies regardless of changes to standard pricing
  • Rate guarantee remains valid even if you cancel and later rejoin (subject to availability)
  • We reserve the right to adjust rates with 60 days notice only in exceptional circumstances

2.6 Founding Member Benefits

As a Founding Agent, you receive:

  • Lifetime "Founding Member" status and badge on your profile with your member number
  • Priority customer support
  • Early access to new features and platform updates
  • Recognition as one of the first 50 agents on the platform
  • Locked-in annual rate at your tier level
  • Input into platform development and feature roadmap

3. Agent Eligibility & Application

3.1 Eligibility Requirements

To be eligible as an agent, you must:

  • Be a registered business or sole trader operating in the UK
  • Specialize in off-market property transactions
  • Have relevant experience in commercial or residential property
  • Comply with all applicable laws and regulations
  • Maintain appropriate professional indemnity insurance

3.2 Application Process

  • All applications are subject to approval at our discretion
  • We may request additional documentation or information
  • Approval typically takes 24 hours
  • We reserve the right to reject any application without providing reasons
  • Upon approval, you have 48 hours to complete payment and secure your tier

4. Property Listings

4.1 Listing Limits

  • All agents may list up to 5 active properties at any time
  • Listings must be for genuine off-market properties
  • You may update or remove listings at any time
  • Inactive listings may be removed after 90 days

4.2 Listing Requirements

All property listings must:

  • Contain accurate and truthful information
  • Include appropriate images and documentation
  • Comply with all advertising and property marketing regulations
  • Be for properties you have authority to market
  • Not be listed on public property portals simultaneously

4.3 Prohibited Content

You must not include in your listings:

  • False, misleading, or fraudulent information
  • Properties you do not have authority to market
  • Discriminatory language or content
  • Personal contact information (use platform messaging)
  • External links or competing platform references

5. Account Management

5.1 Account Security

  • You are responsible for maintaining the confidentiality of your account credentials
  • You must notify us immediately of any unauthorized access
  • You are responsible for all activity that occurs under your account

5.2 Account Suspension or Termination

We may suspend or terminate your account if:

  • You breach these Terms
  • Payment is not received when due
  • You engage in fraudulent or illegal activity
  • You provide false information
  • Your conduct harms other users or our reputation

6. Cancellation & Refunds

6.1 Cancellation by Agent

  • You may cancel your membership at any time with 30 days notice
  • Cancellation must be submitted via email to team@offmarketpro.xyz
  • You remain liable for any fees due up to the end of the current annual period
  • Upon cancellation, your listings will be removed from the platform
  • Your founding member tier rate remains available if you choose to rejoin (subject to availability)

6.2 Refund Policy

  • Annual membership fees are non-refundable once your account is activated
  • If we reject your application before activation, a full refund will be provided
  • No refunds are provided for partial years or unused listings
  • No pro-rata refunds upon cancellation

6.3 Cancellation by OffMarket Pro

  • We may terminate your account for breach of these Terms
  • If terminated for cause, no refund will be provided
  • If terminated without cause, we will provide a pro-rata refund of any prepaid fees

7. Liability & Disclaimers

7.1 Platform Availability

  • We aim to keep the platform available but do not guarantee uninterrupted access
  • We may suspend the platform for maintenance or updates
  • We are not liable for any loss resulting from platform unavailability

7.2 Limitation of Liability

To the fullest extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from your use of the platform.

Our total liability to you for all claims arising from your use of the platform shall not exceed the amount you paid to us in the 12 months preceding the claim.

7.3 Third-Party Interactions

  • We are not a party to transactions between agents and investors
  • We do not verify the accuracy of property information provided by agents
  • We are not responsible for the conduct of agents or investors on the platform
  • You are solely responsible for your interactions with other users

8. Intellectual Property

8.1 Platform Content

All content on the platform, including text, graphics, logos, and software, is owned by HomeHive Club Ltd or its licensors and is protected by copyright and other intellectual property laws.

8.2 Your Content

  • You retain ownership of content you upload to the platform
  • You grant us a license to display, store, and distribute your content on the platform
  • You warrant that you have the right to upload and use all content you provide
  • You must not infringe any third-party intellectual property rights

9. Data Protection & Privacy

We process your personal data in accordance with our Privacy Policy and applicable data protection laws, including the UK GDPR. By using our platform, you consent to such processing and warrant that all data provided is accurate.

10. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by email or through the platform. Your continued use of the platform after changes take effect constitutes acceptance of the updated Terms.

Changes to pricing for Founding Agents will be communicated with at least 60 days notice.

11. Governing Law & Disputes

11.1 Governing Law

These Terms are governed by the laws of England and Wales.

11.2 Dispute Resolution

  • In the event of a dispute, you agree to first contact us to seek an informal resolution
  • If informal resolution fails, disputes will be resolved through binding arbitration or the courts of England and Wales

12. General Provisions

12.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and HomeHive Club Ltd.

12.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full effect.

12.3 Waiver

Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

12.4 Assignment

You may not assign or transfer these Terms without our written consent. We may assign our rights and obligations without restriction.
