Please read these Terms and Conditions ("Terms") carefully before using offmarketpro.xyz (the "Service") operated by HomeHive Club Ltd, trading as OffMarket Pro ("us," "we," or "our").
1. Acceptance of Terms
By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part, you may not access the Service.
2. Definitions
- "Agent": A property professional who lists properties on the platform
- "Investor": A verified user seeking off-market property opportunities
- "Founding Agent": One of the first 50 agents accepted to the platform
- "Listing": A property posted by an Agent on the platform
- "User": Any person using the Service (Agent or Investor)
3. Eligibility
3.1 General Requirements
- You must be at least 18 years old
- You must provide accurate and complete information
- You must not have been previously banned from the Service
3.2 Agent Requirements
- You must be a legitimate property professional
- You must have legal authority to list properties
- You must have genuine access to off-market properties
- You must comply with all applicable property and real estate laws
3.3 Investor Requirements
- You must have genuine investment intent
- You must provide proof of funds when required
- You must comply with all applicable laws regarding property investment
4. Account Registration and Security
4.1 Account Creation
- You must provide accurate, current, and complete information
- You are responsible for maintaining account confidentiality
- You must notify us immediately of any unauthorised access
4.2 Account Termination
We reserve the right to suspend or terminate accounts that:
- Violate these Terms
- Provide false or misleading information
- Engage in fraudulent activity
- Misuse the platform
5. Agent Terms
5.1 Founding Agent Programme
- Limited to 50 agents
- 6 months free access
- Maximum 5 active listings at any time
- Subject to approval process
5.2 Listing Requirements
Agents must ensure all listings:
- Are legitimate off-market properties
- Contain accurate information
- Include appropriate authorisation to list
- Comply with property advertising regulations
- Do not infringe third-party rights
5.3 Prohibited Listings
Agents may not list:
- Properties they don't have authority to market
- Properties already publicly listed on major portals
- Fraudulent or misleading properties
- Properties that violate laws or regulations
5.4 Listing Limits
- Maximum 5 active listings per founding agent
- We reserve the right to remove listings that violate Terms
- Agents must update or remove sold/unavailable properties promptly
6. Investor Terms
6.1 Verification
- Investors must complete verification process
- Proof of funds may be required
- We reserve the right to reject investor applications
6.2 Appropriate Use
Investors agree to:
- Use the platform for genuine property investment purposes
- Not scrape, copy, or republish listings
- Respect agent time and respond professionally
- Not use information for purposes other than property investment
7. Fees and Payment
7.1 Founding Agent Programme
- First 6 months free for founding agents
- Future pricing will be communicated at least 60 days before the free period ends
- Founding agents receive lifetime discounted rates
7.2 Future Fees
- We reserve the right to introduce fees after the founding period
- Changes to fee structure will be communicated in advance
- Continued use after fee introduction constitutes acceptance
8. Intellectual Property
8.1 Platform Ownership
- The Service, including design, code, and branding, is owned by HomeHive Club Ltd
- You may not copy, modify, or create derivative works
8.2 User Content
- You retain ownership of content you upload (property listings, descriptions, images)
- You grant us a licence to display and distribute your content on the platform
- You represent that you have rights to all content you upload
8.3 Prohibited Use
You may not:
- Scrape or extract data from the platform
- Use automated systems without permission
- Republish platform content elsewhere
- Reverse engineer the platform
9. Prohibited Conduct
Users must not:
- Violate any laws or regulations
- Infringe on others' intellectual property rights
- Post false, misleading, or fraudulent information
- Harass, abuse, or harm other users
- Spam or send unsolicited communications
- Attempt to gain unauthorised access to the platform
- Interfere with platform operation
- Use the platform for money laundering or illegal activities
10. Privacy and Data Protection
- Your use of the Service is subject to our Privacy Policy
- We collect and process data as described in the Privacy Policy
- You consent to data processing as outlined
11. Disclaimers and Limitations of Liability
11.1 Service "As Is"
- The Service is provided "as is" without warranties
- We don't guarantee uninterrupted or error-free service
- We don't verify all user-submitted information
11.2 No Property Guarantees
- We don't guarantee property availability, accuracy, or suitability
- We are not party to transactions between agents and investors
- Property transactions are solely between agents and investors
11.3 Limitation of Liability
To the maximum extent permitted by law:
- We are not liable for indirect, incidental, or consequential damages
- Our total liability is limited to fees paid in the last 12 months (or £100 if no fees paid)
- We are not responsible for user conduct or content
11.4 Exceptions
Nothing in these Terms excludes liability for:
- Death or personal injury caused by negligence
- Fraud or fraudulent misrepresentation
- Any liability that cannot be excluded by law
12. Indemnification
You agree to indemnify and hold harmless HomeHive Club Ltd from claims arising from:
- Your use of the Service
- Your violation of these Terms
- Your violation of any rights of another party
- Content you submit to the platform
13. Dispute Resolution
13.1 Governing Law
These Terms are governed by the laws of England and Wales.
13.2 Disputes Between Users
- We are not responsible for disputes between agents and investors
- Users should resolve disputes directly
- We may suspend accounts involved in disputes at our discretion
13.3 Disputes with OffMarket Pro
- You agree to first attempt informal resolution by contacting us
- If unresolved, disputes will be subject to the jurisdiction of courts in England and Wales
14. Modifications to Terms
- We may modify these Terms at any time
- Material changes will be communicated via email or platform notice
- Continued use after changes constitutes acceptance
- If you disagree with changes, you must stop using the Service
15. Termination
15.1 Your Right to Terminate
- You may close your account at any time
- Contact us to request account deletion
15.2 Our Right to Terminate
We may suspend or terminate your account:
- For violation of these Terms
- For fraudulent or illegal activity
- For extended inactivity
- At our discretion with reasonable notice
15.3 Effect of Termination
- Your access to the Service ends immediately
- Your data will be handled per our Privacy Policy
- Provisions that should survive (liability, indemnification) remain in effect
16. General Provisions
16.1 Entire Agreement
These Terms constitute the entire agreement between you and HomeHive Club Ltd.
16.2 Severability
If any provision is invalid, the remaining provisions remain in effect.
16.3 Waiver
Failure to enforce a provision doesn't waive our right to enforce it later.
16.4 Assignment
You may not assign these Terms. We may assign them without restriction.
16.5 Force Majeure
We are not liable for delays or failures due to circumstances beyond our control.
